A sample contract for subcontractors


A contract for subcontractors is an important thing to have. A contract sets a specific set of standard for you and the subcontractor. It is very important that you both agree upon the terms of service, the schedule in which the work is to be accomplished, and the prices and costs of supplies, labor, and incidental costs as well. All contracts of this type should also include an inspection and acceptance agreement that you and the contractor are both comfortable with. Of course a contract of this sort is complicated and can be somewhat difficult to understand completely. There is help for those of us that are confused by what we are looking at when dealing with a contract of any kind.

The schedule
The schedule part of the contract should include the supplies and services and prices and costs. There should be a brief description of the supplies and services and the price and costs agreed upon during your negotiations. You will also notice a section that should refer to Provisions applicable to direct costs. This is very important as it will restrict the use of contract funds that are not already included in the contract or pre-approved by your agreement.
In this section will also be a work statement which is a significant section to your contractual agreement. It will note specifics that will be key to your project.


Contract clauses
This section will list all of the clauses that are legally required by law and all clauses agreed upon by you and the contractor. They will probably not be written out fully but have a short description of each clause. Also there should be section that describes the authorized substitution of clauses as you and the contractor have agreed on in your negotiations. The clauses that you and the contractor have drawn up during negotiations will be in a different section from the legal clauses which will be listed first.

List of attachments
The last of the contract will cover privacy agreements, instructions for forms to be completed, invoice instructions, wage rate determinations, and footnotes to be submitted with technical and business proposals.
Several examples of contracts can be found online and you can determine what contracts will best suite your needs. You will need to think of terms of the contract you would like to have included and bring these things up in your negotiation procedures with your subcontractor. You will want to make sure that you have your contract witnessed by an outside individual or notarized if you feel it is necessary. Having an outside, impartial witness party to your agreement with your subcontractor is an excellent idea. This person can be a neutral individual that can help in the event of needed clarifications to the agreed upon terms. A subcontractor will generally have a standard contract available but be certain that you are fully aware of its terms and conditions before signing any contract. A negotiation is the best way to ensure that both you and the subcontractor in question are meeting each other's needs and all legal obligations required by the state that you live. Be sure that you are getting everything that you want within reason, and that you are provided with the best possible service and price before finalizing your terms. Every subcontractor will have their own standard and rules and keep these things in mind as well; being open minded will help your negotiations run as smoothly as possible.
